Thirty million dollars, before she has spent a single day in the building. That is the size of the one time stock award HP CEO Emma Walmsley will receive when she takes over HP Inc. on January 4, 2027, according to the company's Form 8-K filing with the SEC. The former GlaxoSmithKline chief was unanimously picked by HP's board after what chair Chip Bergh called "a comprehensive global search," ending a stretch in which Bruce Broussard has run the PC and printer maker on an interim basis since February 2026.

The filing lays out her offer letter in detail. Here are the figures that matter.

The pay and transition figures from HP's filing

  • $1,450,000: her annual base salary.
  • 200%: her target annual bonus as a share of salary, which works out to $2.9 million at target. The first year is prorated.
  • $6,450,000: the grant date value of her yearly restricted stock units for fiscal 2027.
  • $15,050,000: the target value of her yearly performance adjusted stock units (PARSUs) for fiscal 2027. Neither yearly award is prorated.
  • $30,000,000: a one time inducement award, split evenly between $15 million in RSUs and $15 million in PARSUs at target.
  • $2,500,000: a cash sign on bonus, which she must partly repay if she quits or is fired for misconduct within 12 months.
  • Up to $2,500,000: relocation support for eligible costs in her first year.
  • 12 to 13: the number of board seats after HP amended its bylaws to add her as a director.
  • 4.6%: how much HP shares rose in early trading after the news, according to Reuters.

How much Walmsley could earn in her first year at HP

Add the regular pieces together and her target pay for a full year comes to roughly $25.9 million: salary, bonus at target and the two annual equity grants. That figure is our math from the filing, not a number HP published, and the actual payout depends on bonus results and on how HP stock performs.

The one time items sit on top. The inducement award, sign on cash and maximum relocation budget total another $35 million. Most of that is stock, so its real value will move with HP shares over the vesting period. HP said the board will set the vesting terms for the performance based part of the inducement grant in January 2027.

Packages like this are common when a company hires an outside chief who is walking away from other earning opportunities. The inducement grant was made under a New York Stock Exchange rule that lets companies give new hires stock outside a shareholder approved plan. Walmsley's 17 years in cosmetics and 8 years at GSK

Walmsley, 57, is not a hardware executive, and nobody is pretending otherwise. She spent 17 years at L'Oreal before joining GSK in 2010. She became chief executive in April 2017, the first woman to lead the British drugmaker, according to a Reuters factbox, and ran it until December 2025. During that time she oversaw the spin off of the consumer health business Haleon. After stepping down she advised GSK's board and new CEO from January to September 2026.

Her technology credentials come mostly from the boardroom. She has sat on Microsoft's board, including its compensation committee, for about seven years.

That gap drew quick comment. Vitor Madeira, an analyst at Capital.com, told Reuters that Walmsley "has no background in hardware." HP's board is betting that running a large global company matters more than knowing how a laptop gets built.

In the company's release, Walmsley called HP "an iconic company with a defining role in shaping the future of work on a global scale."

Who does what on January 4

The handover is tidy on paper:

  1. Broussard stays interim CEO through the end of the day on January 3, 2027.
  2. Walmsley becomes CEO and joins the board on January 4.
  3. Broussard becomes chair of the board the same day, replacing Bergh.
  4. Bergh, chair since 2017 and a director since 2015, stays on the board.

The memory chip problem waiting for her

The new CEO inherits a hard market. Reuters reported that memory chip costs are the main pressure on HP right now, that the company has not given a fiscal 2027 outlook, and that it is planning for PC volumes to fall by a mid single digit percentage. Rising memory prices have squeezed the whole industry, a theme that also showed up in Apple's latest quarter and in the steep price of high memory machines like the 512GB Mac Studio.

Investors liked the pick on day one. The harder number to watch is the one HP has not shared yet: what it expects to earn in fiscal 2027 once Walmsley has had a quarter to set her own plan. Follow more big company moves on our tech news page, or read how Oracle's $20 billion raise breaks down.
